Dear Mr Chano, I have just finished a review of the By-Laws for our Endurance Riding club. By-Laws are to an organization what a Constitution is to a country. It is extremely important that each article and section be limited and specific so that there can be no doubt as to its intent. In a perfect world, the By-Laws would never change. While this is impossible, use that concept to divide which items belong in your "By-Laws" and which in your "Rules." For instance, Club structure should be in the By-Laws but how teams are structured should be in the Rules. The By-Laws should specify who may be a member of the Club and the various classes of membership but the Rules should list the specific requirements for each membership class. Volatile items such as the cost for each class of membership should be by an order of the Board of Directors, not in either the By-Laws or the Rules. 1) How many "handbooks" will you have and what will they encompass? 2) Which "handbook" is this? It appears to be a compilation of ideas, not codified at all. 3) Is Z-11 a US club? Assuming yes then 4) Will Z-11 be a 501(c)(3) not for profit corporation? If that is not a current objective, might it become one in the future? If yes, you would be advised to include one of the IRS's acceptable qualifications for 501(c)(3) status in your By-Laws article on Purposes. 5) By-Laws should be laid out by article>section>sub-section. 6) The first article should be a declaration of your organization's name. Something like: ARTICLE I - NAME The Name of the Club [Corporation] shall be Z 11 Youth Cricket Development Club ("the Club"). 7) Followed by its Mission Statement or Purpose(s) ARTICLE II - PURPOSES 2.01. The Club is established to promote and encourage: (a) The sport of Cricket. (b) That Cricket is always played in the true spirit of the game. (c) That all players will follow the traditions and rules of the game as defined by the Club. (d) The dissemination of information on the game of Cricket through convention seminars, published articles, and other means as approved by the Board of Directors. Subsequent sections of Article II might include that the Club will keep permanent records, create awards for achievements, publish a booklet containing the Rules and Regulations ("Rules") for Games, or whatever other goals the Club might have. There is a lot more of course. I would charge $12.50/hr. As a guideline, this letter took me about 25 minutes. Respectfully yours, D Trefethen Freelancer ID: 3200387
