## Deliverables
Deliverables Ask questions prior to bidding as these specifications will be construed in the broadest manner, not the narrowest. Seller (Bidder) is an Independent Contractor who has the sole right to control and direct the means, manner and method by which the services required by this agreement will be performed and be responsible for all expenses incurred while performing services under this agreement. Seller (winning bidder) assigns to Buyer entire right, title and interest, including all patent, copyright, trade secret, trademark and other proprietary rights in the work product. All deliverables will be considered "work made for hire" under U.S. Copyright law. Buyer will receive exclusive and complete ownership and distribution rights to all work purchased. No additional GPL, GNU, 3rd party components, etc. will be incorporated into the work product unless all copyright ramifications are explained and agreed to by buyer. All design elements must be approved. The design of the website must be approved before development begins. Buyer will provide text use cases, business rules, site map, sample wire frame and a design guide to the winning bidder after signature of Non-Disclosure and Non-Competition Agreement to assist Seller. These specifications will be incorporated into this development agreement which includes unstated derivative requirements necessary to deliver the stated requirements. Wireframes, prototype, database design, test plan must be submitted for review and approval prior to final delivery and final acceptance test. Seller will inform Buyer of potential technical, legal or operational risks to project completion and recommend mitigation strategy. Seller will coordinate text, buttons, links, graphics and pages with Buyer, and incorporate the content appropriately into the interface and database. This is a turn-key bid, all-inclusive, no overages or up-charges. Complete and fully-functional working programs in executable form as well as complete source code. Seller will install deliverables in ready-to-run condition to the Buyer’s live environment and integrate into Buyer's billing system. Seller will include complete documentation (including list of development tools used) for administration and maintenance of the website and instructions for later migration to a dedicated server and horizontal scaling across several servers. Payment will be made when the Seller installs the fully functional site to the Buyer’s server, the site is up and running without bugs; the documentation has been received and deliverables have been approved by the Buyer. Seller will upload working deliverables by deadline or forfeit the project. Seller will assist if bugs arise within 2 months of go live. Buyer agrees to review and respond (in good faith) to all Seller’s status reports and deliverables within 48 hours or less.
