CSS template needed with specifics - converting from frames

We have a client who wishes to upgrade a site to use CSS (It currently runs on frames and some javascript and is not SEO friendly in any way). We need the a CSS template with the following...
-We need it to look the same (scroll in the same spots and keep some of the page showing all the time) so regular visitors will never know it changed from frames to css by appearance.
-We need it to be compatible with all the standard browsers (*Ie, FireFox, Opera, etc...) preferable as many verisions as possible as some people do not upgrade browsers often.
I have included three jpgs that explain what needs to scroll and what does not need to scroll. The entire template must scale like the original site does as well.
The site has mature content (It's a adult classifieds site so it has some nudity and mature content) we do not wish to post the link here due to the mature nature of the site so if you are interested in the project please PM me for the link
(Obviously we do not want anyone under the legal age to view bid on this project)
We need it done properly and with as much browser cross compatibility as possible so I am entering this for 100.00-300.00 budget range. We also need this done ASAP.
Please NO generic bids - included in your bid we need to see how long it will take you to make this along with some CSS examples you have in your portfolio that show that you are capable of doing a project like this.
